MONTHLY MEMBERSHIP TERMS AND CONDITIONS

A. GENERAL

i. These Terms & Conditions govern all memberships under Voodoo Cycle & Voodoo Body ("the Studio")

ii. By signing up, members must comply with studio rules and booking policies.

iii. The Studio reserves the right to amend terms with notice.

B. MEMBERSHIP

i. Membership is personal to the member and is non-transferable, non-assignable and non-refundable. A member may not loan his/her membership to be used by a third party.

ii. Memberships are available to individuals who have attained a minimum age of 14 years old. A parent/guardian for any applicants below 18 and above 14 must sign on the agreement/paper contract or digital contract as consent for the minor to join the studio and abide the rules and regulations. Alternatively, parent/guardian may produce a signed letter of consent to the studio.

C. VOODOO MEMBERSHIP BENEFITS

i. Priority booking.

ii. Access to Member Only events.

iii. Discounts on special events.

iv. A surprise birthday gift!

v. One free class for your first timer buddy.

vi. Unlimited membership gives unlimited access to any Signature classes which include cycle, mat strength, yoga, mat pilates and VFORMER.

D. MEMBERSHIP AGREEMENT / CONTRACT FORM

i. A digitally/electronically signed contract is legally recognized and shall not be denied of its legal effect, validity or enforceability.

ii. You will be given a copy of digital signed contract upon joining via email that you have provided to us.

E. MEMBERSHIP FEES

i. Monthly subscription is payable on the same date every month through credit card/debit card arrangement, through our official payment method and platform. A prevailing late payment fee will be imposed thereafter per outstanding month. Furthermore, for credit card/debit card payers, by entering the card details onto our secured enrolment platform, you agree that the tokenized card details will be stored as card on file for recurring payment.

ii. Membership fees are billed on a recurring monthly basis. Your billing cycle begins on your enrollment date, and subsequent charges will be processed on the same calendar date each month thereafter. If your billing date falls on a day that does not exist in a given month (e.g., the 31st), payment will be processed on the last day of that month.

iii. Failure to use or non-usage of the Studio's facilities does not eliminate the obligation to pay all subscriptions in a timely manner. Failure to properly cancel a booking or failure to attend a booked class shall be subject to the Studio's Late Cancellation and No-Show Policy.

iv. Class Cancellation and No-Show Policy.

Members who are unable to attend a booked class must cancel their reservation at least eight (8) hours prior to the scheduled class start time. Failure to cancel within the required notice period, or failure to attend a booked class without prior notification, will be considered a "No-Show." If a member accumulates three (3) No-Show incidents, Voodoo Cycle Body Studio reserves the right to suspend the member's booking privileges for a period of one (1) week. During the suspension period, the member will not be permitted to make any class reservations or bookings.

v. The credit card/debit card authorization amount must be sufficient to cover at least three months subscription outstanding plus late payment fees. On occasions, bank delays may cause your credit card/debit card to be inactive for several months. In this case, you may to make payments directly at the Studio. Please always update your billing details and contact information with the Studio.

vi. The Management reserves the right to deny access if the dues are in arrears and to cancel any membership on which fees are unpaid for a month or more.

vii. Membership Fee Increase:

• a. Price promise; the Studio agrees not to increase the Member's Monthly Dues within their Minimum Contract Period (MCP).

• b. Thereafter Voodoo Cycle & Voodoo Body reserves the right to increase prices of any existing membership, subject to giving 30 days' notice to the Members by posting such notification in the Studio, or by whatever means is deemed appropriate at the time. You will be taken to have received notices sent to your latest address given to us on the second business day after we post them.

• c. Monthly Membership Dues are payable in advance through the autopay system. Voodoo Cycle & Voodoo Body reserves the right to charge a nominal fee in the event of late payment due to unsuccessful collection for whatever reason, or in the event that an alternative method of payment is used.

• d. If membership fees are increased, you hereby authorize the Company to increase any autopay instruction.

• e. Monthly membership dues payable under the Contract are inclusive of Sales & Service Tax (SST). If the rate at which SST is charged change, then the fees payable under the Contract will increase or decrease by the amount by which SST increases or decreases. This increase or decrease will occur even if you are within your minimum term.

F. FREEZING MEMBERSHIP

i. Members may "freeze" their memberships by continuing to pay a prevailing freeze fee per month. Freeze fee is payable in advance and is based on your primary membership.

ii. A member must give 1 month notice to the Studio prior to the next billing cycle. Back dating freeze is not allowed. Freeze request shall be processed by the Studio staff. A written confirmation shall be issued by the Studio to confirm the freeze period.

iii. The freeze period must be for a period of not less than 1 month or maximum 3 months and the Member needs to be an active paying member for a minimum of 3 months after joining.

iv. Freeze may not be used in respect of the notice period for cancellation of membership.

v. Members may not use the studio facilities during this freeze period.

vi. Members are allowed to freeze their membership for a maximum of 3 times per year for a fee of RM50 each time.

G. TERMINATION ON OR AFTER THE MINIMUM TERM

i. You can terminate your membership on or after the minimum term if you give us one full calendar month's advance notice in writing.

ii. All outstanding fees must be paid before the cancellation of your membership can be processed.

iii. It is mandatory on your part to inform us five business days before your billing date.

H. EXPULSION OF MEMBER

i. The management may terminate the membership of any member:

• a. Without notice and with immediate effect if a member's conduct, whether or not such conduct is the subject of complaint by another member or members, is such that in the reasonable opinion of the Management, it is harmful to the character and/or interest of the studio.

• b. Without notice and with immediate effect if the member should have committed any breach of these rules.

• c. Upon notice in writing, if the Company is of the opinion that the member is not a suitable individual for continued membership.

• d. If a member is found to have violated the privacy of any other member within the platforms or are caught in lewd or compromising actions.

A member whose membership is terminated by the Management shall forfeit all the privileges of membership with immediate effect without claim of any refund of his/her initial Monthly Membership dues and shall settle any outstanding debts.

I. LIMITATION OF LIABILITY AND RESERVATION OF RIGHTS

i. Voodoo Cycle & Voodoo Body accepts no responsibility for loss or damage of their members and guests' properties or for death or injuries sustained while on the premises or during the Classes. Members and their guests agree that no claims will be made against the Company, the Management or staff for any reason whatsoever.

ii. Voodoo Cycle & Voodoo Body and its associated companies, employees or agents shall not be responsible for any claims, demands, injuries, damages or actions for negligence arising on account of death or due to injury, loss, damage or theft to a member's person or property arising out of or in connection with the use by a member of any of the services, facilities of the premises Voodoo Cycle & Voodoo Body. The member hereby holds the Company, Voodoo Cycle & Voodoo Body and its associated companies, employees and agents harmless from all claims which may be brought against them by or on a member's behalf for any such injuries or claims aforesaid.

iii. Any guest of a member or a temporary visitor to the Studio shall agree to abide with the Studio rules and the same limitation of liabilities for a member shall apply. You hereby acknowledge, represent and warrant that the usage of facilities at Voodoo Cycle & Voodoo Body involves risk of injury to You, other members or guests, whether caused by You or someone else. You understand and voluntarily accept this risk. You warrant and represent that you have consulted with a doctor prior to the start of any exercise programs. You agree to hold Voodoo Cycle & Voodoo Body, employees, directors, the management harmless of any liabilities for injury including, without limitation, personal, physical or mental injury, economic loss, or any damage to You, or Your relatives as the consequence of your acts and the acts of anyone by using the facilities of Voodoo Cycle & Voodoo Body. You agree to be responsible for all liabilities and damage suffered for any injury sustained, including, without limitation, physical or mental injury, economic loss, or any damage to another member caused by You whether deliberately or otherwise or through negligent action or omission.
